Agreement to Terms

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN ARBITRATION PROVISION AND CLASS ACTION WAIVER. BY ACCESSING OR USING THIS WEBSITE, YOU ARE AGREEING TO THESE TERMS INCLUDING THE ARBITRATION PROVISION.

By accessing or using the website at https://[stouro.com] (the "Website") or purchasing products from St. Ouro, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Website. These Terms apply to all visitors, customers, and others who access or use the Website.

The Website is operated by ABJ Partners LLC, a Delaware limited liability company, doing business as St. Ouro ("St. Ouro," "we," "us," or "our").

Eligibility

You must be at least 18 years of age to use this Website or purchase products from St. Ouro. By using the Website, you represent and warrant that you are 18 years of age or older, have the legal capacity to enter into these Terms, have not previously been suspended or removed from the Website, and that all information you provide to us is true, accurate, and complete.

Products and Orders

Product Descriptions: We make every effort to accurately describe our products, including colors, dimensions, and features. However, we do not warrant that product descriptions or other content on the Website are accurate, complete, or error-free. If a product you receive is not as described, your sole remedy is to return it in accordance with our Return & Refund Policy.

Pricing: All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to correct any pricing errors, even after an order has been placed. In the event of a pricing error, we will notify you and give you the option to confirm your order at the correct price or cancel it for a full refund.

Order Acceptance: Placing an order on our Website constitutes an offer to purchase. We reserve the right to refuse or cancel any order at our discretion, including orders that appear to be placed for commercial resale, orders where we suspect fraud, or orders affected by pricing errors. You will be notified promptly if your order is cancelled and any payment will be refunded.

Sales Tax: Applicable sales tax will be collected based on your shipping address and current tax laws. As a Delaware LLC, St. Ouro has no Delaware state sales tax obligation, but is required to collect applicable sales tax in states where we have nexus.

Payment

We accept payment methods as listed at checkout, processed through Shopify's secure payment system. By submitting an order, you represent that you are authorized to use the payment method provided. All transactions are encrypted and processed securely. St. Ouro does not store your full payment information.

Shipping and Delivery

Shipping timelines, methods, and costs are described in our Shipping Policy, which is incorporated into these Terms by reference. St. Ouro is not responsible for delays caused by carriers, customs, or circumstances outside our control.

Returns and Refunds

Our return and refund practices are described in our Return & Refund Policy, which is incorporated into these Terms by reference. By making a purchase, you agree to the terms of that policy.

Product Use and Safety

The St. Ouro Themis is designed to keep breastmilk cool during transport when used as directed. By purchasing and using our products, you agree to:

  • Follow all care, packing, and use instructions provided with the product and on our Website

  • Follow breastmilk storage and handling guidelines recommended by your healthcare provider or the CDC

  • Not use the product for any purpose other than its intended use

  • Keep the product and included ice packs away from children under 3

St. Ouro makes no medical claims and our products are not medical devices. Results, including cooling duration, may vary depending on conditions of use. Always consult your healthcare provider regarding breastmilk storage and infant feeding practices.

Intellectual Property

All content on the Website — including but not limited to text, graphics, logos, product names, images, illustrations, and the St. Ouro brand identity — is the property of ABJ Partners LLC and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Website without our prior written consent.

You are authorized to view and retain a copy of pages of the Website only for your own personal, non-commercial use.

User Conduct

By using the Website, you agree not to:

  • Use the Website for any unlawful, fraudulent, or deceptive purpose

  • Harass, abuse, stalk, threaten, defame, or otherwise infringe or violate the rights of any party

ST. OURO DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM ST. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL ABJ PARTNERS LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES THAT MAY ARISE IN CONNECTION WITH THIS WEBSITE, OR FROM YOUR USE OF, OR INABILITY TO USE THIS WEBSITE OR OUR PRODUCTS; OR IN CONNECTION WITH ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, OR LINE OR SYSTEM FAILURE, EVEN IF WE ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Termination

We may terminate or suspend your access to the Website at any time, without notice, if you violate these Terms. Upon termination, your obligations under these Terms survive.

Legal Disputes and Arbitration

YOU AND ST. OURO AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, ALSO MAY BE UNAVAILABLE OR LIMITED IN ARBITRATION.

Any dispute between you and St. Ouro arising from or relating to these Terms and their interpretation, or the breach, termination, or validity thereof, or the relationships which result from these Terms, including disputes about the validity, scope, or enforceability of this arbitration provision (collectively, "Covered Disputes"), will be settled by binding arbitration.

Prior to initiating any arbitration, the initiating party will give the other party at least 60 days' advance written notice of its intent to file for arbitration. St. Ouro will provide such notice by email or mail to your address on file. You must provide such notice to St. Ouro by email to [support email] or by mail to:

During such 60-day notice period, the parties will endeavor to settle the dispute amicably. Failing such settlement and expiration of the notice period, either party may initiate arbitration. The arbitrator will conduct proceedings by telephone or videoconference unless in-person appearances are requested and approved. Any in-person appearances will be held at a location mutually agreed upon, or as determined by the arbitrator.

The arbitrator will have the power to grant whatever relief would be available in court under law or in equity, and any award will be final and binding on each party and may be entered as a judgment in any court of competent jurisdiction. St. Ouro and you agree that any Covered Dispute will be submitted to arbitration on an individual basis only. Neither party is entitled to arbitrate any Covered Dispute as a class, representative, or private attorney general action, and the arbitrator will have no authority to proceed on such a basis.

If any provision of this arbitration agreement is found illegal or unenforceable, the remaining arbitration terms shall continue in full force (but in no case will there be class, representative, or private attorney general arbitration). These Terms and related transactions will be subject to and governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16, and where otherwise applicable, by the laws of the State of Delaware.

Governing Law

These Terms shall be governed in all respects by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Severability / No Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force. St. Ouro's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other.

Changes to These Terms

We reserve the right to update or modify these Terms at any time by posting changes to this page with an updated effective date. Your continued use of the Website following the posting of changes constitutes your acceptance. We encourage you to review these Terms periodically.

Entire Agreement

These Terms, together with our Privacy Policy, Warranty, Return & Refund Policy, and Shipping Policy, constitute the entire agreement between you and ABJ Partners LLC with respect to your use of the Website and purchase of our products, and supersede all prior agreements and understandings.
